These Terms and Conditions govern your use of practiscale.com and any services you buy from PractiScale LLC. Please read them carefully.

Key points

  • We introduce healthcare businesses to referral partners and provide billing, credentialing and marketing services. We cannot guarantee specific numbers of patients, referrals or revenue.
  • We do not pay or accept payment for patient referrals. You pay us for our services.
  • There are no long-term contracts. You can cancel at any time, as explained below.
  • These Terms are governed by Texas law.

1. Agreement to these Terms

These Terms are an agreement between you and PractiScale LLC (“PractiScale”, “we”, “us” or “our”). By using practiscale.com, our booking and payment pages, or our forms and emails (together, the “Site”), or by buying our services, you agree to these Terms. If you do not agree, please do not use the Site or our services.

If you use the Site or our services for a business, you confirm that you are authorized to accept these Terms for that business, and “you” includes that business. You must be at least 18 years old.

Some services are provided under a separate proposal, order form or service agreement (a “Service Agreement”). If a Service Agreement conflicts with these Terms, the Service Agreement controls for those services.

2. Our services

PractiScale helps healthcare businesses grow through referral relationships. Our services may include:

  • introductions to referral sources, such as discharge planners, case managers and other healthcare professionals;
  • medical billing;
  • credentialing; and
  • marketing.

The scope, deliverables and fees for your services are set out in your Service Agreement or at checkout. We may add, change or stop offering services at any time, but changes will not reduce services you have already paid for.

3. No guarantee of results

Referral decisions are made by independent professionals based on their patients’ needs and choices, and we do not control them. We do not guarantee any particular number of introductions, referrals, patients, revenue or other results.

Testimonials, case studies and figures on the Site describe the past results of specific clients. They are not typical, and they do not predict the results you will get. Your results depend on many factors, including your services, location, capacity and follow-up.

4. Healthcare compliance

  • PractiScale is not a healthcare provider. We do not provide medical, legal, tax or financial advice.
  • We do not refer patients, and we do not pay or receive anything of value in exchange for patient referrals. Our fees are for the services described in your Service Agreement and are not based on the volume or value of referrals or business between you and any referral source.
  • Patients always have the right to choose their healthcare provider, and referral sources must make referral decisions independently.
  • You are responsible for complying with the laws that apply to your business, including the federal Anti-Kickback Statute, the Stark Law, HIPAA, state patient-brokering and anti-solicitation laws, and licensing rules. You must not offer or give anything of value to any referral source in exchange for referrals.
  • Do not submit protected health information (PHI) through the Site. Where our services require access to PHI, we will sign a business associate agreement with you before receiving it.

5. Referral partners and our guarantee

Referral partners and other professionals we introduce you to are independent. They are not our employees or agents, and we are not a party to any arrangement between you and them. You decide whether to work with any partner, and we do not control or guarantee their actions.

Our 100% Risk-Free Guarantee means:

  • we only connect you with professionals you approve;
  • if a partner does not meet your expectations, tell us and we will replace them at no cost; and
  • there is no long-term contract, so you can cancel at any time (see Cancellation).

Unless your Service Agreement says otherwise, the guarantee does not include a refund of fees for services already provided.

6. Fees and payment

  • Fees are shown in your Service Agreement or at checkout and are in US dollars. Fees do not include taxes unless stated.
  • Payments are processed by our third-party payment processor. By giving us a payment method, you authorize us to charge it for the fees you have agreed to.
  • If your services are billed on a recurring basis, we will charge your payment method at the start of each billing period until you cancel.
  • If a payment fails or is late, we may pause your services until it is paid.

Paid discovery calls

Discovery calls booked through the Site cost the fee shown at booking, payable when you book. You can reschedule free of charge with at least 24 hours’ notice. If you cancel at least 24 hours before your call, we will refund the fee in full. Cancellations within 24 hours of the call and missed calls are not refundable. If we cancel or cannot hold your call, you can choose a full refund or a new time.

7. Cancellation

You can cancel your services at any time by emailing info@practiscale.com. Unless your Service Agreement says otherwise, cancellation takes effect at the end of your current billing period, you will not be charged for any later period, and fees already paid are not refundable.

We may pause or end your services, or your access to the Site, if you breach these Terms, do not pay, or if continuing would break the law. Sections that by their nature should survive cancellation, such as fees owed, intellectual property, disclaimers, limitation of liability and indemnity, will continue to apply.

8. Your responsibilities

You agree to:

  • give us accurate and complete information and keep it up to date;
  • respond to reasonable requests so we can deliver your services;
  • review and approve any marketing materials we prepare for you before they are used, and make sure your claims about your own services are accurate; and
  • manage your own relationships with referral partners and patients.

9. Acceptable use of the Site

When using the Site, you must not:

  • break any law or use the Site for fraud or other harmful purposes;
  • send spam or false information through our forms;
  • copy, scrape or collect content or data from the Site by automated means without our written permission;
  • upload viruses or other harmful code, or interfere with the Site’s security or operation;
  • try to gain unauthorized access to the Site or its systems; or
  • pretend to be another person or business.

10. Intellectual property

The Site and its content, including text, graphics, videos, logos and the PractiScale name, belong to PractiScale or our licensors and are protected by law. You may view and print pages for your own business use. You may not copy, change, distribute or create works from our content without our written permission.

Other trademarks shown on the Site belong to their owners, and their use does not mean those owners endorse or are affiliated with PractiScale.

You keep ownership of the materials you give us. You give us permission to use them only to provide our services to you. Ownership of deliverables we create for you is set out in your Service Agreement. If you send us feedback or ideas, we may use them without any obligation to you.

11. Electronic communications and texts

By contacting us or using our services, you agree that we can communicate with you electronically, including by email, and that electronic notices meet any legal requirement for written notice.

If you agree to receive text messages, we may text you about your inquiry, appointments and our services. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Agreeing to receive texts is not a condition of any purchase. See our Privacy Policy for how we handle your information.

12. Third-party websites and services

The Site links to and uses third-party services, such as booking and payment pages, LinkedIn and YouTube. We do not control those services and are not responsible for their content, terms or privacy practices. Your use of them is at your own risk and subject to their terms.

13. Disclaimers

The Site and its content are provided “as is” and “as available”. To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Site will be uninterrupted, error-free or free of harmful components.

Content on the Site is for general information only and is not professional advice.

14. Limitation of liability

To the fullest extent allowed by law, PractiScale and its owners, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, patients, referrals, data or goodwill, arising from the Site or our services.

Our total liability for any claim relating to the Site or our services will not exceed the greater of the amount you paid us in the 12 months before the claim arose or US $100.

Some laws do not allow these limits, so they apply to you only to the extent the law allows.

15. Indemnification

You agree to defend and indemnify PractiScale and its owners, employees and contractors against any claims, losses and costs (including reasonable legal fees) arising from your use of the Site or our services, your breach of these Terms, your violation of any law (including healthcare laws), or your dealings with referral partners or patients.

16. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. If a dispute arises, please contact us first at info@practiscale.com, and we will try to resolve it informally within 30 days. If we cannot, the dispute will be decided only by the state or federal courts located in Travis County, Texas, and you and PractiScale agree to their jurisdiction.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this page. If a change materially affects services you are receiving, we will let you know in advance. If you keep using the Site or our services after changes take effect, you accept the updated Terms.

18. General

  • Entire agreement: these Terms, our Privacy Policy and any Service Agreement are the entire agreement between you and PractiScale about their subject.
  • Severability: if any part of these Terms is found unenforceable, the rest stays in effect.
  • No waiver: if we do not enforce a right, we have not given it up.
  • Assignment: you may not transfer your rights under these Terms without our written consent. We may transfer ours as part of a merger, acquisition or sale of our business.
  • Events beyond our control: we are not responsible for delays or failures caused by events we cannot reasonably control.
  • Relationship: PractiScale is an independent contractor. Nothing in these Terms creates a partnership, joint venture or employment relationship.
